David Zaslav’s Earnings Rise to $165 Million Thanks to WBD’s Planned Split
Warner Bros. Discovery CEO’s Pay Package Triples to $165 Million for 2025
David Zaslav, CEO of Warner Bros. Discovery, will see his pay package for 2025 rise dramatically to $165 million, a significant increase from the $51.9 million he received the previous year. This boost is largely attributed to option awards valued at $109.6 million, granted under a revised employment agreement made last year.
The impressive pay raise comes amidst a pending merger with Paramount, which could lead to a substantial payout for Zaslav if the merger is finalized. As noted in Warner Bros. Discovery’s (WBD) proxy statement filed with the SEC, “Certain of the Committee’s actions in 2025 were designed to support retention and incentivize our pursuit of other strategic options.” The statement clarified that while plans to split the company had been abandoned, some compensation actions would remain in effect.
The proxy elaborated, “In connection with the strategic actions described above that were taken in 2025 to unlock stockholder value, the Committee took several compensation actions intended to align the incentives of our NEOs with the outcomes of such actions.” It further indicated that many arrangements, including new employment contracts, became irrelevant after the decision to pursue a merger over a corporate separation.
While Zaslav’s signing bonus is noteworthy, it’s important to understand that his overall compensation would have been less had the separation occurred, given that his role would have shifted to heading a streamlined Warner Bros.
The breakdown of Zaslav’s compensation includes a base salary of $3 million, stock awards valued at $22.6 million, non-equity incentive plan compensation (a cash bonus) of $25.7 million, and additional pay totaling $4.1 million.
