
Paramount is making a significant move to entice Warner Bros. Discovery (WBD) away from Netflix, a strategy that has long been anticipated within the industry.
While the specifics of the proposed increase remain undisclosed, it was initially reported by Bloomberg that Paramount aims to enhance its offer.
This strategic shift follows a series of rejected unsolicited bids from Paramount, all maintaining a $30 valuation but featuring various concessions. WBD has expressed ongoing concerns regarding financing guarantees amidst what would potentially be the largest leveraged buyout in history, an issue that continues to influence discussions.
According to an SEC filing, WBD indicated that Paramount is prepared to increase its offer to $31 or above. The talks are set to conclude by 11:59 p.m. ET tonight, unless extended. Notably, Netflix retains the right to match any offer made by Paramount. Wall Street analysts predict that an increase to $31 or $32 per share may be necessary for Paramount to secure a successful deal.
WBD’s arrangement with Netflix, valued at $82.7 billion, stipulates a price of $27.75 per share in cash for Warner’s streaming and studio assets. Additionally, shareholders are expected to receive stock from WBD’s spun-off Discovery Global cable company, though the valuation of that stock remains uncertain.
Neither Paramount, WBD, nor Netflix representatives were available for immediate comment on the ongoing negotiations.
As these discussions unfold, time is of the essence. A special meeting of Warner’s shareholders is scheduled for March 20 to vote on the Netflix deal and address the cable spinoff initiative.
In a bold move, Paramount has initiated a hostile tender offer directed at WBD shareholders, circumventing the board altogether. The latest deadline for this offer, which has already been extended twice, is set for March 3.
Looking ahead, Paramount is slated to report its fourth-quarter earnings on Wednesday, followed by WBD on Thursday, with conference calls that are expected to provide further insights into these developments.
